ELLIO Lead Submission Terms & Conditions

Introduction

‍These Lead Submission Terms & Conditions (“Terms”) govern the submission and validation of business leads (“Leads”) to ELLIO Technology s.r.o. (“ELLIO”). By submitting a Lead, you (“Submitter”) agree to be bound by these Terms.

Only a Submitter who has reached the age of majority (18 years in most jurisdictions) is permitted to submit a Lead. Any Lead submitted by a Submitter under the age of majority will be automatically rejected, and the Submitter shall have no right to any fees or compensation under these Terms.

1. Definition of a Valid Lead, Lead Ownership

(1a) Valid Lead Criteria
A Lead shall be deemed valid only if it meets all of the following criteria:
(i) The Lead represents a new potential customer not previously known to, contacted by, or active within ELLIO’s CRM, sales pipeline, or any ongoing business discussions.
(ii) The Lead submission contains complete, accurate, and verifiable contact information, including the organization name, key contact person(s), their email address(es), and the company’s business website.
(iii) The Lead corresponds to a company or organization operating within the target market relevant to ELLIO’s products, services, or solutions.
(iiii) Where required under applicable data protection or privacy laws (including GDPR), the Lead has provided explicit consent to be contacted by ELLIO.

(1b) Lead Submission Process
The Submitter shall register a new Lead exclusively through the online lead registration form available at https://ellio.tech/partners/lead-registration. All mandatory fields in the form must be completed accurately.

(1c) Lead Verification
ELLIO reserves the right to review and verify all submitted Leads prior to validation.Upon completion of verification, ELLIO shall notify the Submitter in writing (by email or other electronic means) whether the submitted Lead has been approved or rejected.

(1d) Lead Expiration - No Engagement within 30 Days
Once a Lead is approved, and no meeting, introduction, or engagement takes place between the Lead and ELLIO within thirty (30) days of the Lead submission date, the Lead shall automatically expire, and the Submitter shall forfeit any right to a lead fee or other compensation arising from any subsequent contract or engagement with that Lead.

(1e) Lead Expiration - No Contract within 365 Days
Once a Lead is approved, and no contract or official order between ELLIO and the Lead is executed within three hundred sixty five (365) days from the date of Lead submission, the Lead shall automatically expire, and the Submitter shall forfeit any and all rights to a lead fee or other compensation arising from any subsequent contract or engagement with that Lead.


2. Duplicate or Invalid Leads

‍(2a) If the same Lead is submitted by multiple Submitters, ELLIO will recognize the first valid submission received.
(2b) Leads already in the ELLIO’s  database, under discussion, or introduced by other means (partners, marketing, events) are not eligible for fees.
(2c) Submissions with incomplete or incorrect information may be rejected without notice.


3. Lead Fee and Payment 

‍If a Valid Lead results in a signed contract between ELLIO and the Lead:
‍(3a) The Submitter will receive a lead fee, with the exact amount agreed in writing between ELLIO and the Submitter. The fee applies only to the net value of the first contract signed between ELLIO and the Lead (excluding VAT or other taxes). No a lead fee shall be payable on any renewal or extension of a contract.
‍(3b) Payment of the lead fee shall be made within thirty (30) days of ELLIO receiving payment from the Lead.
‍(3c) No additional fees or commissions will be due for any subsequent contracts, renewals, or extensions, unless explicitly agreed in writing by ELLIO.


4. Compliance, Good Faith, Confidentiality

(4a) Submitter represents that all Leads are obtained lawfully and ethically, in compliance with applicable privacy and data protection laws (including GDPR, if applicable).
(4b) ELLIO  reserves the right to disqualify any Lead obtained through unethical or unlawful means.
(4c) Both parties agree to keep all submitted Lead information confidential and not disclose it to third parties.


5. Limitation of Liability

‍(5a) Participation in the ELLIO Lead Program is at the Submitter’s own risk. ELLIO shall not be liable for any indirect, incidental, or consequential damages, including but not limited to lost profits, lost business opportunities, or reputational harm, arising from participation in the program.
‍(5b) The maximum liability of ELLIO to the Submitter shall be limited to the amount of fees actually due and payable for a verified, valid Lead under these Terms.
‍(5c) ELLIO strives to handle all Leads professionally and fairly. Submitters benefit from a transparent process, including written validation of Leads and clear payment terms, while ELLIO is protected from unforeseen claims or disputes beyond the verified lead fee.
‍(5d) Nothing in this section shall limit ELLIO’s liability for fraud, willful misconduct, or violations of applicable law.


6. Eligibility and Conflict 

(6a) ELLIO reserves the right to reject any Lead submission at its sole discretion, including if the submission may involve a potential conflict of interest, or if pursuing the Lead would violate applicable laws, regulations, or ELLIO policies, without any obligation to pay a lead fee or provide justification.


7. Governing Law 

(7a) These Lead Program Terms shall be governed by and construed in accordance with the currently valid ELLIO Terms and Conditions, specifically Section 12, “Governing Law; Disputes,” as available at https://ellio.tech/terms-and-conditions.
(7b) By participating in the Lead Program, the Submitter agrees that any disputes arising under these Terms will be resolved in accordance with the procedures and governing law set forth in ELLIO’s main Terms and Conditions.

8. Acceptance 

‍(8a) By submitting a Lead through the official Lead Submission Process described in Section 1(b), the Submitter confirms that they have read, understood, and agree to be bound by these Terms.
(8b) By submitting a Lead through the official Lead Submission Process described in Section 1(b), the Submitter confirms that they have read, understood, and agree with general ELLIO Terms and Conditions and Privacy Policy.
